These Website Terms of Use ("Terms") govern access to and use of actifyautomations.com (the "Site"), operated by Actify Automations LLC, a Texas limited liability company ("Actify," "we," "us," or "our"). By using the Site, you agree to these Terms. If you do not agree, do not use the Site.

These Terms govern the public marketing Site only. They do not create a client engagement or govern paid engineering services. A proposal, statement of work, master services agreement, order form, or product-specific terms signed by the parties will govern those services and control if it conflicts with these Terms.

1. Eligibility and business use

You must be at least 18 years old and legally capable of agreeing to these Terms. If you use the Site for an organization, you represent that you are authorized to act for that organization.

2. Site information is not professional advice

Site content is provided for general informational and marketing purposes. It is not legal, tax, accounting, financial, cybersecurity, or other regulated professional advice. Examples, diagrams, calculators, estimates, and illustrative data are not guarantees of results. You are responsible for evaluating information and obtaining appropriate professional advice.

3. No engagement until a written agreement

Submitting a form, booking a call, receiving a demonstration, or discussing a project does not require either party to proceed and does not create a confidential, fiduciary, employment, partnership, agency, or client relationship. An engagement begins only when the parties sign an applicable written agreement.

Do not send confidential information through a general Site form. Confidentiality obligations, data-processing terms, deliverables, ownership, licenses, fees, warranties, and service levels are established in the applicable signed agreement, not on this Site.

4. Acceptable use

You may use the Site only for lawful purposes. You may not:

• interfere with the Site or attempt to bypass its security controls;
• access systems or data without authorization;
• introduce malware, harmful code, or automated traffic that unreasonably burdens the Site;
• scrape, harvest, or use Site content or contact information in violation of law;
• impersonate another person or misrepresent your affiliation;
• submit unlawful, infringing, deceptive, or harmful material; or
• use the Site to violate another person's rights.

We may restrict access when reasonably necessary to protect the Site, users, or our rights.

5. Intellectual property

The Site and its content—including text, designs, graphics, code, logos, trademarks, and original materials—are owned by Actify or its licensors and are protected by applicable law. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to access the Site for your internal business evaluation.

Except where law permits otherwise, you may not reproduce, modify, distribute, sell, license, publicly display, reverse engineer, or create derivative works from the Site without written permission. “Actify Automations,” the Apex mark, and associated branding are marks of Actify Automations LLC.

6. Feedback

If you voluntarily provide feedback about the Site or our services, you grant Actify permission to use that feedback without restriction or compensation, provided we do not publicly identify you as its source without permission.

7. Third-party services and links

The Site may link to or embed third-party services. We do not control their content, availability, security, or practices. Your use of a third-party service is governed by that provider's terms and policies.

8. Disclaimers

To the maximum extent permitted by law, the Site is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will always be available, secure, complete, accurate, or error-free.

Nothing on the Site is a promise that a particular automation, result, timeline, saving, return, or integration is available for your circumstances. Any binding commitment must appear in a signed agreement.

9. Limitation of liability

To the maximum extent permitted by law, Actify Automations LLC and its officers, employees, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or business opportunity, arising from use of or inability to use the Site.

To the maximum extent permitted by law, our aggregate liability arising from the Site or these Terms will not exceed one hundred U.S. dollars ($100). Some jurisdictions do not allow certain exclusions or limitations, so portions of this section may not apply to you.

10. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Actify Automations LLC and its officers, employees, and agents from third-party claims, damages, and reasonable costs arising from your unlawful use of the Site, your submitted content, or your material violation of these Terms.

11. Governing law

These Terms are governed by Texas law, without regard to conflict-of-law principles. Any court proceeding that is not subject to a separate signed agreement will be brought in the state or federal courts serving Fort Bend County, Texas, and the parties consent to their jurisdiction and venue.

12. Changes and availability

We may update the Site and these Terms over time. Revised Terms take effect when posted unless a later date is stated. We may suspend or discontinue any part of the Site without liability.

13. General terms

If a provision is unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will remain in effect. Failure to enforce a provision is not a waiver. These Terms are the entire agreement regarding the public Site and supersede prior discussions about Site use.
